ОНЭКСИМ перевел акции «Квадры» из офшора в Россию

Группа ОНЭКСИМ Михаила Прохорова завершила перевод акций энергокомпании «Квадра» в российскую юрисдикцию. Из состава акционеров вышли Joule Energy Ltd и Ragato Management. В ОНЭКСИМе от комментариев отказались
Группа ОНЭКСИМ Михаила Прохорова увеличила долю прямого владения в компании «Квадра», переведя еще часть акций энергокомпании в российскую юрисдикцию. Об этом говорится в сообщении компании.
Таким образом, компания Joule Energy Ltd, зарегистрированная на Кипре, снизила долю в «Квадре» с 34,52 до 0%.
Кроме того, из состава акционеров компании вышла Ragato Management, которая ранее владела 24,75% акций. Владельцем аналогичного пакета стало ООО «Бизнесинформ», которое на 100% принадлежит Михаилу Прохорову.
Представитель ОНЭКСИМа Андрей Беляк отказался от комментариев.
ОНЭКСИМ принадлежит Onexim Group Management Ltd с Британских Виргинских островов. Группе Михаила Прохорова и аффилированным с ним компаниям принадлежит 74,74% акций «Квадры», остальные 25,26% — миноритариям.
Ранее сообщалось, что ОНЭКСИМ пытался продать «Квадру» и проводил работу по консолидации своей доли в компании. Первые слухи о продаже компании появились в 2011 году. Тогда возможными покупателями назывались «Интер РАО» и «Газпром энергохолдинг». Но тогда сделка не состоялась.
Новая волна слухов о продаже «Квадры» весной 2016 года появилась на фоне тяжелой экономической ситуации в холдинге. «Квадра» сорвала сроки ввода в эксплуатацию по договорам поставки мощности Дягилевской ТЭЦ в Рязани, Алексинской ТЭЦ в Тульской области и Воронежской ТЭЦ-1 и решила совсем отказаться от строительства Курской ТЭЦ. За это компании грозили два штрафа — рыночный и эмиссионный, которые изначально оценивались в 3,5 млрд руб., а летом, как писали «Ведомости», достигли 7 млрд руб. Наблюдательный совет ассоциации НП «Совет рынка» в октябре принял решение в течение 33 месяцев (двух лет и семи месяцев) не штрафовать «Квадру».
В июне агентство Reuters со ссылкой на источники писало, что на тот момент председатель совета директоров «Квадры» экс-глава «Русгидро» Евгений Дод может купить компанию. Дод в разговоре с РБК опроверг факт переговоров о покупке компании, а представитель «Квадры» заявил, что переговоры о продаже вообще не ведутся. 20 июля суд отстранил Евгения Дода от поста председателя совета директоров компании по ходатайству следствия. В «Квадре» тогда заявили, что топ-менеджер перестал возглавлять совет директоров еще в июне.
Дод обвиняется в «присвоении или растрате в особо крупном размере». Следствие обвиняет топ-менеджера в искажении финансовой отчетности, что, по версии обвинения, ввело в заблуждение участников годового собрания акционеров «РусГидро» относительно размера прибыли за 2013 год. Евгений Дод издал приказ о премировании членов правления компании по итогам 2013 года. Себе он выписал премию в размере 1% от чистой прибыли, чем неправомерно завысил ее размер не менее чем на 73,2 млн руб., считают следователи.
