Фармкомпания «Генериум» миллиардера Виктора Харитонина создала совместное предприятие с ирландской корпорацией Shire. Новые партнеры контролируют уже около 70% рынка госзакупок лекарств от гемофилии, который в прошлом году превысил 8 млрд руб.
Российская фармацевтическая компания «Генериум» Виктора Харитонина, состояние которого в 2016 году Forbes оценил в $1 млрд, создала совместное предприятие с ирландской корпорацией Shire — SG Biotech, подтвердили РБК представители обеих компаний. В России SG Biotech (российские юрлицо — АО «Эс Джи Биотех») была зарегистрирована осенью 2016 года, следует из данных ЕГРЮЛ.
Партнерский бизнес
Виктор Харитонин и его российские партнеры являются контролирующими акционерами новой компании. Самому бизнесмену напрямую принадлежат 17,09% акций АО «Эс Джи Биотех», еще по 6,93% у двух бывших заместителей министра промышленности Андрея Дементьева (ушел из министерства в 2007 году) и Андрея Реуса (ушел в 2012-м). Также по 0,52% акций принадлежит трем партнерам Харитонина по другим проектам — Валерию Егорову, Павлу Милейко и Геннадию Швейгерту.
Кипрская компания Mastershare Enterprises Limited (ее бенефициарами являются сам Харитонин и его партнеры — президент «Генериума» Александр Шустер и Егор Кульков) владеет 16,5% акций АО «Эс Джи Биотех». Оставшийся 51% акций АО контролирует кипрская SG Biotech Limited, в которой, в свою очередь, 51% акций принадлежит структурам ирландской корпорации Shire, а оставшиеся 49% — у структур Харитонина и его партнеров.
Данные о распределении акций между партнерами содержатся в кипрском реестре и в опубликованной 23 марта отчетности Shire за 2016 год.
Согласно информации на сайте SG Biotech, новая компания занимается поставками на российский рынок препаратов для лечения гемофилии (наследственное заболевание, связанное с нарушением процесса свертывания крови). По словам представителя пресс-службы Shire, SG Biotech «объединяет препараты от гемофилии, которые есть в портфеле «Генериума» и фармпроизводителя Baxalta (Shire приобрела последнюю в середине 2016 года за $32 млрд. — РБК)».
«Совместное предприятие получит преимущество от синергии опыта двух компаний, которые являются основателями в этой области медицины», — подчеркивает представитель Shire. «Объединение позволит улучшить доступ к инновационным методам лечения и повысить стандарты оказания медицинской помощи больным гемофилией в России», — добавил представитель «Генериума».
Будет ли ирландская корпорация переносить производство своих препаратов на мощности «Генериума» (владеет заводом во Владимирской области) или стороны будут заниматься только совместными продажами своих препаратов, компании не уточняют.

Shire занимает 23-е место в рейтинге крупнейших публичных фармацевтических компаний, по данным Forbes. За 2016 год продажи компании выросли на 78% и составили $11,4 млрд. Чистая прибыль сократилась на 75%, до $327 млн, что обусловлено расходами на сделку по покупке Baxalta. По прогнозу Shire, в 2017 году выручка компании составит $14,5–14,8 млрд. Выручка «Генериума» за 2015 год, по данным «СПАРК-Интерфакс», составила 5,2 млрд руб., чистая прибыль — 2,4 млрд руб.
Объем рынка
Препараты от гемофилии входят в государственную программу закупок дорогостоящих лекарств для лечения редких заболеваний — «Семь нозологий». В нее также входят препараты от муковисцидоза, гипофизарного нанизма, болезни Гоше, злокачественных новообразований и др.
На препараты от гемофилии в 2016 году было объявлены аукционы на сумму около 10 млрд руб., подсчитали аналитики агентства Alpha Research & Marketing на основе базы госзаказа. По итогам аукционов сумма была снижена на 0,6%, а объем фактически осуществленных поставок составили 8,2 млрд руб., или 774,5 млн упаковок, свидетельствуют данные Alpha Research & Marketing. В 2016 году на импортные лекарства в этом сегменте приходилось 72% рынка в рублях и 87% в упаковках, следует из данных аналитического агентства.
Основной объем поставок на сумму около 3,5 млрд руб. обеспечили препараты Baxalta. «Генериум» является второй по сумме заказа, она поставила лекарств на 2,3 млрд руб. Таким образом, вместе компании могут получить около 70% рынка лекарств от гемофилии.
Третий не лишний
«Генериум» занимает шестое место среди крупнейших поставщиков «Семи нозологий», следует из данных DSM Group за 2015 год, 19-е место занимает «Фармстандарт».
Если у препаратов в портфеле Shire есть аналоги, то у российских компаний есть преференции перед ними по правилу «третий лишний», рассказывает гендиректор DSM Group Сергей Шуляк. «Третий лишний» — механизм поддержки российских производителей лекарств и медизделий на госзакупках. Иностранный поставщик не допускается к конкурсу, если заявки с аналогами лекарства подали хотя бы две компании из стран Таможенного союза. Создавая с «Генериумом» совместное предприятие, Shire облегчает себе доступ на рынок, поясняет Шуляк.
Кроме того, по его словам, Shire может просто пользоваться опытом продвижения на российском государственном рынке лекарств, который есть у «Генериума» и «Фармстандарта». Это не первый иностранный производитель, который сотрудничает с компаниями Харитонина, чтобы получить доступ к рынку, напоминает Шуляк. В марте 2017 года о создании совместного производства с «Фармстандартом» заявила Национальная иммунобиологическая компания (дочка «Ростеха») и итальянская Kedrion Biopharma. Партнерами «Фармстандарта», согласно сайту компании, являются Abbott, Celgene, Roche, Janssen, Novartis, Sanofi.
